Tradebank International, Inc. (“Til”) owns a system of reciprocal brokerage of goods and services, i.e., barter and trade, among its clients and acts as the keeper of records for the transactions between *334its clients for which it receives compensation. Tradebank International Franchising Corporation (“TIFC”) is the wholly owned subsidiary of TII. TIFC acts to franchise Til’s regional operations and has granted several franchises with exclusive territories.
