MARCUS, District Judge.
This action was brought by Plaintiff, International Insurance Company, seeking a declaratory judgment that it has no obligation in connection with a claim under a director’s and officer’s liability insurance policy. The Defendants, insureds under the insurance policy, have counterclaimed seeking a declaration that Plaintiff is liable under the policy as well as reimbursement for their losses.
