KILLITS, District Judge.

The defendant, a copartnership known as Spitzer, Rorick & Co., of Toledo, Ohio, dealing .in municipal and other securities, entered into an agreement in April, 1913, with the plaintiff, the board of trustees for the Regina public school district No. 4, province of Saskatchewan; Canada, to purchase at the rate of 95 per cent., or for $475,000, $500,000, par value, of debentures which the jplaintiff proposed to issue.
