SWEET, District Judge.
Defendants Frederick R. Weisman (“Weisman”), Frederick Weisman Co. (“FWC”) and Rare Properties, Inc. (“Rare Properties”) have moved for an order (i) staying this action pending determination of a related case in state court in California, (ii) dismissing for failure to state a claim the First, Second, Third, and Fourth Claims of the Third Amended Complaint as against all defendants pursuant to Fed.R.
