This case flows from the transformation of Sportsman’s Park, a horse racing venue in Cicero, Illinois, owned by plaintiff National Jockey Club (“NJC”), into the Chicago Motor Speedway (“CMS”), an ultimately unsuccessful facility for horse and auto racing. To effect this transformation, NJC and defendant Chip Ganassi Group, LLC (“Ganassi Group”) formed CMS, an Illinois limited liability company.
