BACKGROUND

A complete account of the facts in this ease is set out in In re T2 Medical, Inc. Shareholder Litigation (“In re T2 ’’). 1 Briefly, the appellants here were the plaintiff class members of a prior federal securities action that had resulted in a settlement with the defendants from that action, Coram Healthcare Corporation (“Coram”) and two officers from a company that had merged with Coram.
