I. INTRODUCTION
Plaintiffs 2 allege that defendants sold them Vivendi Universal, S.A. (“Vivendi”) common stock or American Depository Shares (“ADSs”) at artificially inflated prices as a result of defendants’ 3 material misrepresentations and omissions between October 30, 2000 and August 14, 2002, inclusive, (the “class period”) in violation of §§ 10(b) and 20(a) of the Securities Exchange Act of 1934 (the “1934 Act”).
