I. INTRODUCTION
This putative class action is brought on behalf of certain purchasers of common stock in eSpeed, Inc. (“eSpeed”), a publicly-traded market leader in electronic bond trading. Plaintiffs allege violations of sections 10(b) and 20(a) of the Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder by the Securities and Exchange Commission (“SEC”). 1 All defendants now move to dismiss the Complaint pursuant to Federal Rule of Civil Procedure 12(b)(6).
