Plaintiff has brought two separate motions in this action: one against the defendants, Rogers Auto Sales Corp. (hereinafter referred to as “Auto Sales”) and Irving Rogers, who have interposed a joint answer herein, and the other against the defendant, Rogers Investors, Inc. (hereinafter referred to as “Investors”), which has interposed a separate answer herein. All three defendants have denied the material allegations of the complaint, and have interposed several affirmative defenses and counterclaims.
