Appeal from judgment for plaintiff against defendant Duchein, and from order denying motion for new trial.
The plaintiff is a corporation organized under the laws of this state. The defendant, the Garibaldi Grove, was, on and before June 22, 1893, a subordinate unincorporated association, organized under charter from the plaintiff; but on that date, by a vote of the Grand Grove, at the annual session held in San Francisco for the year 1893, a resolution was passed whereby the Garibaldi Grove was declared “dissolved, and .... the charter and all property of said Garibaldi Grove ....…
