This action is brought to recover of the defendant, as a director of a domestic stock business corporation, known as the Eclipse Electric Lamp Company, the amount of certain debts owing by said corporation. Defendant’s liability is predicated upon the failure of said corporation to file an annual report in January, 1896, and defendant’s omission to make and file the certificate provided for by section 30 of the Stock Corporation Law as it stood in January, 1896.
