Plaintiff (“Medicorp”) filed a Complaint pursuant to 8 Del.C. § 203 alleging that a written Statement of Intention by defendant-Humana to make a tender offer for equity securities of Medicorp, a Delaware corporation, failed to comply with 8 Del.C. § 203. The initial Statement of Intention was delivered by Humana to Medicorp on October 3, 1977. A revised Statement of Intention was delivered to Medicorp on October 17, 1977, which corrected certain omissions and uncertainties in the October 3, 1977, Statement.
