Appeal from a judgment of the Supreme Court in favor of plaintiffs, entered August 13, 1980 in Albany County, upon a decision of the court at Trial Term (Miner, J.), with an advisory jury. Plaintiff Albany Motor Inn and Restaurant, Inc. (AMI), in deep financial trouble and in need of fiscal resuscitation, considered an offer of defendant Watkins to purchase either the assets of AMI or Ethel Ibbotson’s 100% stock *798ownership.
