MEMORANDUM
CALDWELL, District Judge.
We are considering Defendant’s motion to compel mediation/arbitration and to dismiss or stay this action. Also pending is Plaintiffs motion for leave to file an amended complaint. We exercise jurisdiction pursuant to 28 U.S.C. § 1332.
I. BACKGROUND
In 1993, Plaintiff, H.B. Libby Corporation (“Libby”), was the contractor for the construction of a shopping center known as Lake Raystown Shopping Center in Hunting-don County, Pennsylvania (“the Project”).
