This is a dispute involving former 50% shareholders of a close corporation, Ajettix Incorporated. Plaintiffs commenced this action seeking legal and equitable relief for breach of fiduciary duty and fraud in connection with the agreement of Ajettix to redeem the stock owned by its vice-president and secretary, James D. Raub. Ajettix’s agreement to redeem.the stock for approximately $500,000 was guaranteed by the other shareholder, Ajettix’s president and treasurer Sue E. Newhouse.
