The following Opinion constitutes the Court’s findings of fact and conclusions of law pursuant to Fed.R.Civ.P. 52.
BACKGROUND
Plaintiff, Bradford Trust Company of Boston (“Bradford”), is a corporation organized and existing pursuant to the banking laws of Massachusetts, with its principal place of business in Boston. In its regular course of business, Bradford acts as a trust company, custodian, trustee and/or transfer agent for various and sundry mutual funds and money market funds.
