MEMORANDUM OPINION AND ORDER
WEINER, District Judge.
Appellant, Pueblo Chemical, Inc. (hereinafter termed “Pueblo”), appeals to this Court from an adverse judgment in the United States Bankruptcy Court for the Eastern District of Pennsylvania. The Bankruptcy Court held that Pueblo and the Appellee, III Enterprises V (hereinafter termed “Enterprises”), did not have a legally enforceable contract.
