J. CURTISS BROWN, Chief Justice.

Parker Energy Partners 1984-1 (the Partnership) and Cary Grant sued Parker Energy Technology Corporation (the Corporation) and William J. Grierson (Grierson or appellant) asking for damages and injunc-tive relief. The petition stated that Grier-son was the President of the Corporation. It specified that the Corporation was wrongfully acting as general partner and had refused to turn over the books and records of the Partnership to the newly elected general partner.
