Appellee Black Gold Marine, Inc. instituted this declaratory judgment action to determine the validity of a contract between it and appellant Jackson Marine Co. which required, among other things, Black Gold to arbitrate in London, England, a salvage claim made by Jackson. At the conclusion of the bench trial, the' district court found that Jackson had fraudulently procured the contract and that Black Gold had not ratified the contract.
