About July 15, 1927, the Mystic Stone Quarries Company (hereinafter referred to as the quarries company) was organized and bought from S. W. Davis his rock quarry property at Mystic, Ky.

In addition to the vendor’s lien retained by Davis to secure the payment of the company’s series of purchase-money notes aggregating $25,000, Davis insisted that the first five of these notes, totaling $7,000, should also be personally secured by the stockholders of the company.
