Plaintiff Ira L. Mendell owned common stock of defendant Loehmann’s Inc. (“Loehmann’s”) in 1981 when Loehmann’s merged with a company organized and controlled by defendant AEA Investors Inc. (“AEA”). 1 Pursuant to the merger, Loehmann’s common stockholders received $31.30 in cash for each share of common stock.
