PALMIERI, District Judge.

This is a motion for an order pursuant to Fed.R.Civ.P. 12(b) (6) and 23, dismissing the complaint on the ground that this is not an appropriate case for a class action. |

The action is brought by three plaintiffs on their own behalf and on behalf of all other holders of shares, notes, and debentures issued by the Hotel Governor Clinton, Inc. from 1961 to 1964. The complaint alleges two separate causes of action, each pursuant to Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), and Rules 10b-5 and 10b-3 promulgated thereunder. 17 C.F.R. §§…
