OPINION

FARNAN, District Judge.

Plaintiffs James Wenzel (“Wenzel”) and David Crocker (“Crocker”) brought this action on behalf of themselves and a proposed class of plaintiffs. Wenzel and Crocker assert that the defendant Patrick Petroleum Company (“Patrick Petroleum”) violated § 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b) (1988), and Rule 10b-5 of the rules and regulations promulgated under § 10(b) by the Securities and Exchange Commission (“SEC”). 17 C.F.R. § 240.10b-5 (1990).
