This is a securities fraud case arising from the purchase by plaintiff Robert M. *364Deutschman of call option contracts on Beneficial Corporation stock during the fall of 1986. In his amended complaint, Deutschman asserts causes of action for violation of federal securities laws and common law negligent misrepresentation and alleges the following against defendant Beneficial Corporation (“Beneficial”) and two of its officers, Finn M.W. Caspersen and Andrew C. Halvorsen:
