I. INTRODUCTION

On May 24, 2011, Plaintiff The Ayco Company, L.P. (“Ayco” or “Plaintiff’) filed this instant action seeking a temporary restraining order (“TRO”) and preliminary injunction against Defendants Wolfgang Frisch and Stefan Oglevee (“the Defendants” or “Frisch” and “Oglevee”).
