I. INTRODUCTION

Carlyle Investment Management, L.L.C. (“CIM”), TC Group, L.L.C. (“TC Group”), and TCG Holdings, L.L.C. (“TCGH”) (collectively, “plaintiffs”), filed the present action against Carlyle Capital Corporation Limited (in liquidation) (“CCC”) and Joint Liquidators Alan John Roberts, Neil Mather, Christopher Morris, and Adrian John Denis Rabit (collectively, “the liquidators”) in the Court of Chancery of the State of Delaware (“Court of Chancery”) on December 29, 2010.
