MEMORANDUM OPINION

STEPHEN C. ST. JOHN, Bankruptcy Judge.

The Motion to Dismiss filed herein by Albertsons, Inc. came on for hearing on March 30, 2004, and the parties made their final arguments on the Motion to Dismiss on April 19, 2004. At the conclusion of the hearing and arguments, the Court took the Motion to Dismiss under advisement.
