BABCOCK, Chief Judge.
During its three-year existence, defendant WebAecess International, Inc. (“Web-Access”) consumed several million dollars of capital before closing its doors on November 27, 2002. The plaintiffs, James and Linda Grubka, rueful of their lost $38,411 investment in WebAecess, here assert theories of recovery premised upon allegations of securities fraud and malfeasance by WebAecess’ directors and officers, many of whom are named here as individual defendants.
