CANNELLA, District Judge.

Defendants’ motion to dismiss the complaint is denied. Fed.R.Civ.P. 12(b)(6).

BACKGROUND

Plaintiff Nivram commenced the instant action on March 10, 1992, on behalf of a purported class of purchasers of Harcourt Brace Jovanovich [“HBJ”] preferred stock during the period March 30th through November 13, 1989.
