Kendall Yacht Corporation (hereinafter “Corporation”) and Lawrence and Linda Kendall filed a complaint against the United California Bank (hereinafter “Bank”) and Ron Lamperts, a United California Bank loan officer, to recover damages for injuries allegedly suffered as a consequence of the Bank’s breach of agreements to loan money to the Corporation. The Bank cross-complained for unpaid balances on loans made to the Corporation and guaranteed by the Kendalls, the incorporators of the Corporation.
