The plaintiff, Gemini Investors, Inc. (“Gemini”), moved pursuant to Fed. R.Civ.P. 15 to file a second amended complaint. (# 92) Specifically, Gemini sought to add a second plaintiff, Gemini Investors IV, L.P. (“the Fund”), as a required party under Fed.R.Civ.P. 19. The plaintiff argued that the Fund should be joined as a party-plaintiff because it is the entity that actually would have made the investment which is at issue in this litigation.
