This matter is before the court on the parties’ cross motions for summary judgment. Fed.R.Civ.P. 56.

I. STATEMENT OF FACTS.

This is an action to cancel a security deed which plaintiff contends was executed with defendant’s actual or constructive knowledge by an individual without authority to bind plaintiff.
