The matter before this court is a motion by Penn Center Management Corporation (“Penn Center”) 1 to compel the Chapter 7 Trustee to transfer a Pennsylvania liquor license and to set-off the amount owed for the liquor license against past-due rents owed to Ultimate Restaurant Group, Inc. (“Debtor”). After careful review of the record, it is determined that Penn Center does not have a security interest in the liquor license, and it is denied specific performance and set-off.
