SHEDD, Circuit Judge.
Glenn Smoak filed an action in Virginia state court (“the first action”) against Q International Courier, Inc. (“Quick”) seeking a declaration that Quick used an improper basis appraising the value of Smoak’s stock after Smoak exercised his option requiring Quick to purchase his stock.
