KING, Circuit Judge.

The Ranger Refining & Pipe Line Company is a corporation chartered under the laws of Delaware, with its prm-*258cipal office in Wilmington, Del. The by-laws provide that the corporation might also have an office in Dallas, Tex., and at such other places as the board of directoi's might appoint, or the business of the corporation might require; that the directors might hold their meetings, and keep the books of the corporation, other than the original or duplicate stock ledger, outside of Delaware.
