ACOSTA, District Judge.

The present case is before us on an appeal from the United States Bankruptcy Court’s June 26, 1984 and September 10, 1984 judgments denying defendant-appellant’s, Government Development Bank for Puerto Rico (“GDB”), motion for summary judgment; granting the complaint filed by plaintiff-appellee, Tomás Padilla as Trustee of debtor Sucesores de Abarca, Inc. (“Abar-ca”); and denying GDB’s counterclaim. Jurisdiction is premised on 28 U.S.C. 1334(a) and Bankruptcy Rules 8001, 8002 and 8003.
