OPINION AND ORDER DENYING DEFENDANT’S MOTION TO DISMISS

SPIEGEL, District Judge:

This matter is before the Court upon the motion to dismiss filed by defendant (doc. 6), plaintiff’s response (doc. 7) and defendant’s reply. Because defendant submitted an affidavit of its president in support of its contention that plaintiff has failed to state a claim upon which relief can be granted under Section 10(b) and that this Court has no jurisdiction over the defendant, those matters shall be considered as motions for summary judgment pursuant to Rule 12(b), Fed.R.Civ.P.
