MEMORANDUM OPINION

MCKELVIE, District Judge.

This is a bankruptcy appeal. The debt- or-appellee is CellNet Data Systems, Inc. Prior to its bankruptcy, CellNet was developing a wireless data network for meter reading. The appellant is Schlumberger Resource Management Services, Inc., which acquired a substantial amount of CellNet’s assets and liabilities pursuant to an agreement approved by the Bankruptcy Court.
