I. PROCEDURAL BACKGROUND
This matter is before the Court on the Motion of the Debtors for approval of a sale to Xircom Corporation (“Xircom”) of certain assets (known as the “EZJack related assets”) including the rights under a patent cross license agreement between the Debtors and Megahertz Corporation dated December 31, 1990 (“the License Agreement”).
