PALMORE, Judge.

Adams Real Estate Corporation, as a minority stockholder in Cumberland Publishing Company, Inc., of Pikeville, Kentucky, brought this action against Cumberland and its officers and directors demanding among other things that the management and control of the defendant corporation be placed in the hands of a receiver, that an audit of its financial affairs be conducted, and that the defendant John Ward, its president and chief stockholder, be required to make restitution for money and property alleged to have been improperly obtained from it.
