This is a consolidated shareholder derivative action brought on behalf of nominal defendant Groupon, Inc. (“Groupon” or “the company”) against certain executive officers and members of its board alleging breach of fiduciary duty and abuse of control.1 Also pending in this district is a class action brought against Groupon, certain executive directors, board members and underwriters alleging various securities law violations.
