Robert Cummings, a minority stockholder of plaintiff corporation, has moved pursuant to Fed.R.Civ.P. 24(a) 1 and Section 16(b) of the Securities and Exchange Act of 1934, 15 U.S.C.A. § 78 p(b) 2 to intervene as a party plaintiff in the above-entitled action. Plaintiff *417instituted this action to recover short-swing profits allegedly realized by the defendants in transactions in plaintiff’s common stock and stock purchase warrants.
