Plaintiff Niagara Mohawk Power Company (“Niagara Mohawk”), a public utility corporation organized under New York law, filed this action for declaratory relief on March 3, 1993. The plaintiff is the successor to the rights and obligations of the Niagara, Loek-port & Ontario Power Company (“Niagara Loekport”) under an April 27,1936, franchise agreement with the Tonawanda Band of Seneca Indians (“Tonawanda Band”), a federally recognized Indian tribe.
