OPINION
PRO, District Judge.
State Street Bank and Trust Company (“State Street”) appeals the confirmation of the Debtor’s plan of reorganization under Chapter 11. After obtaining bankruptcy relief under Chapter 11, the debtor-in-possession, Elmwood, Inc. (“Elmwood”), proposed a “cramdown” plan of reorganization (the “Plan”), which would forcé a writedown on the secured lender’s note and allow Elmwood to retain possession and ownership of the property.
