This case concerns the interpretation of an indemnification clause in a contract for the sale of a business. Cross-claim defendant Eaton Corp. (“Eaton”) appeals from the District Court’s grant of summary judgment and order of indemnification in favor of defendant and cross-claim plaintiff HK Systems, Inc. (“HK”).
