The defendant was organized under the laws of Wisconsin in 1894. At a special meeting of its stockholders held in 1921, the articles of organization were amended to provide for 15,000 shares of eight per cent cumulative preferred stock of the par value of $100 each, and 15,000 shares of common stock of the par value of $100 each.
