INTRODUCTION
This matter comes before the Court on the motion to dismiss pursuant to Fed.R.Civ.P. 12(b)(6) and Fed.R.Civ.P. 9(b) of defendants Roussel Corporation (“Roussel Corp.”).; Roussel-Uclaf Holdings Corporation (“RU Holdings”); Hoeehst Marion Roussel, Inc.
