New England Carpenters Pension Fund (“the Pension Fund”), a shareholder of defendant Leggett & Platt, Inc. (“Leg-gett”), appeals the trial court’s dismissal without prejudice of its ten-count petition which alleged, in part, that Leggett’s officers and directors engaged in the backdating of stock options, as well as the subsequent falsification of financial statements based on their failure to disclose the backdating.
