This motion by plaintiff American Standard, Inc. (“Standard’’) to dismiss defendant Crane Co.’s (“Crane”) counterclaim for damages resulting from alleged market manipulation of Westinghouse Air Brake Co. (“Air Brake”) shares by Standard, arises out of the following events and the litigation they produced.1 In June, 1967, Crane determined that Air Brake would be an attractive acquisition and began buying Air Brake stock on the open market.
