OPINION

DENNY CHIN, District Judge.

This diversity action was instituted for breach of contract and fraud. Defendants move, pursuant to Fed.R.Civ.P. 12(b)(2), to dismiss the complaint for lack of personal jurisdiction. They also move, pursuant to Fed.R.Civ.P. 12(b)(6), to dismiss the action for failure to state a claim upon which relief can be granted. For the reasons set forth below, the motion is denied in part and granted in part.
